Cinemana Licensing Policy

1. Purpose

This Licensing Policy provides a general overview of how Cinemana approaches the licensing and distribution of original content created by independent filmmakers and creators (“Creators”).

It is intended to give Creators, users, and other stakeholders a clear understanding of our standard practices regarding rights, licenses, and responsibilities.

This Policy does not create a binding contract and does not supersede, modify, or replace any individual Creator Content License and Distribution Agreement (or other written agreement) that Cinemana enters into directly with a Creator. In the event of any conflict between this Policy and a signed agreement with a Creator, the signed agreement controls.

2. Scope

This Policy applies to original interactive video content, films, series, and related materials that Creators license to Cinemana for distribution on the Cinemana platform (the “Platform”). It does not cover third-party studio films or content that Cinemana licenses from traditional distributors.

3. Licensing Models

Cinemana generally offers two approaches to licensing, which are formalized in the individual agreements signed with each Creator:

    •    Standard (Non-Exclusive) License

Creators grant Cinemana rights to host, stream, promote, and monetize the content on the Cinemana Platform while retaining the ability to distribute the same content elsewhere.

    •    Exclusive Distribution / Shopping Rights

In selected cases, Creators may grant Cinemana exclusive rights for a defined period. During that period, Cinemana may stream the content on its Platform and actively shop the content to third-party platforms and services. In exchange, Creators typically receive a higher share of revenue generated from the content, including any third-party licensing income.

The specific terms, duration of any exclusivity, revenue shares, and approval rights are set forth in the individual agreement signed with each Creator.

4. Creator Responsibilities and Rights Clearance

Cinemana requires that Creators warrant they own or have properly cleared all necessary rights in the content they submit. This includes rights to the video, performances, music, sound recordings, compositions, stock footage, images, and any other third-party elements.

Creators remain responsible for ensuring that their content does not infringe the intellectual property or other rights of any third party. Cinemana relies on these warranties when making content available on the Platform.

5. Indemnification and Liability

Under the agreements Cinemana signs with Creators, Creators typically agree to indemnify and hold Cinemana harmless from claims arising out of their content, including claims of copyright or other intellectual property infringement. This allocation of responsibility is a standard part of our licensing arrangements.

6. Content Removal and Claims

Cinemana reserves the right to remove or disable access to any content when it receives a valid notice of claimed infringement, when content violates Platform guidelines, or for other legal or business reasons. Cinemana maintains a process for handling such notices and expects Creators to cooperate in resolving any claims related to their content.

7. Ownership

Creators retain ownership of their original content. Cinemana receives only the licenses granted under the applicable signed agreement. Cinemana does not claim ownership of Creator content.

8. Monetization and Revenue Sharing

Revenue sharing arrangements (including any enhanced shares associated with exclusive rights) are defined in the individual agreements and related payout schedules. Cinemana provides reporting on relevant revenue as outlined in those agreements.

9. Changes to This Policy

Cinemana may update this general Licensing Policy from time to time to reflect changes in our practices or legal requirements. Updated versions will be posted on the Cinemana website. Individual signed agreements with Creators remain governed by their own terms unless amended in writing.
